1. Acceptance of Terms
Welcome to PendLearn. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, wearable AI learning assistant products, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.
Early Access: PendLearn is currently in development and available through Early Access. The Services may be incomplete, contain bugs, and are subject to change. Your use of the Services during this period is voluntary and at your own risk.
2. Service Description
PendLearn provides a wearable AI learning assistant that listens to your conversations, understands your learning preferences, and turns everyday moments into personalized learning experiences.
During the Early Access phase, the Services include:
- Access to our website and early access registration
- Product updates and development progress notifications
- Future beta program invitations
3. Early Access Terms
As an Early Access user:
- You may receive access to pre-release versions of our products
- Your feedback helps shape the final product
- Features and functionality may change without notice
- There is no guarantee of future product availability or specific features
- Early Access does not constitute a purchase commitment or reservation
4. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall not:
- Use the Services in a way that violates any applicable laws or regulations
- Interfere with or disrupt the Services or servers that host the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services to transmit harmful or malicious content
- Reproduce, distribute, or sell any part of the Services without permission
5. Intellectual Property
All intellectual property rights in the Services, including but not limited to patents, trademarks, copyrights, trade secrets, and proprietary technology, belong to EduIntel LLC ("EduIntel").
You are granted a limited, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use during the Early Access period.
You may not copy, modify, reverse engineer, or create derivative works from any part of the Services.
6. User Submissions
By submitting feedback, suggestions, or other content to PendLearn, you grant EduIntel a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute such content for any purpose related to the development and improvement of our products and services.
You represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe on the intellectual property rights of others.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
EDUINTEL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties regarding the accuracy, reliability, or completeness of the Services
- Warranties regarding uninterrupted or error-free operation
During the Early Access phase, the Services are experimental and may contain errors or defects.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDUINTEL SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
This includes, but is not limited to, damages for loss of data, loss of profits, or interruption of business.
EduIntel's total liability to you for any claim arising from these Terms shall not exceed the amount you have paid to EduIntel, if any.
9. Changes to Terms
EduIntel reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date.
Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
